MASTER SUBSCRIPTION AGREEMENT
Effective Date: May 19th, 2025
This Master Subscription Agreement (“Agreement”) is entered into by and between QuickTag, LLC (d/b/a Séve), a Delaware limited liability company (“Séve”), and the customer identified in the applicable checkout flow or invoice (“Customer”).
1. DEFINITIONS
"Platform" refers to Séve’s digital coupon and shopper engagement system, including its services, software, data analytics, and supporting documentation.
"Checkout Flow" means the Stripe-hosted interface through which the Customer selects a plan, agrees to payment terms, and initiates service.
"Use" refers to coupon redemptions, campaigns, analytics access, or any trackable engagement via the Platform.
"Data" includes receipt data, campaign metrics, user engagement records, and other information generated via the Platform.
2. SUBSCRIPTION & LICENSE
2.1 Grant of Rights
Séve grants Customer a limited, non-exclusive, non-transferable right to access and use the Platform, solely for its internal business operations, during the Subscription Term.
2.2 Usage Restrictions
Customer may not: (a) reverse-engineer, decompile, or copy any portion of the Platform; (b) use the Platform for unlawful purposes; or (c) sublicense, resell, or provide access to third parties without written consent.
2.3 User Access
Customer is responsible for managing user access and activity. Séve is not liable for unauthorized access arising from Customer negligence.
3. TERM AND TERMINATION
3.1 Term
This Agreement remains in effect unless terminated. Each subscription term is defined at purchase via Stripe Checkout.
3.2 Termination for Cause
Either party may terminate this Agreement for material breach, provided written notice is given and not cured within 30 days.
3.3 Termination for Convenience
If permitted by plan type, Customer may cancel with the notice specified in the subscription terms. Fees paid are non-refundable.
4. FEES AND PAYMENT
4.1 Fees
Customer agrees to pay fees as specified at checkout. Fees correspond to selected plan and any overage or usage-based pricing.
4.2 Billing and Late Payments
Payments are due based on billing frequency chosen during sign-up. Late payments may incur interest of 1.5% per month or the maximum permitted by law.
5. SUPPORT AND SERVICE LEVELS
5.1 Support
Support offerings vary by subscription tier and may include onboarding assistance, technical troubleshooting, and strategic review.
5.2 Uptime Commitment
Séve uses commercially reasonable efforts to maintain platform availability, excluding planned downtime or events beyond its control.
6. DATA & PRIVACY
6.1 Ownership
Customer retains rights to all campaign data it generates. Séve may anonymize and aggregate data for benchmarking, analytics, and product improvement.
6.2 Security
Séve employs appropriate administrative, physical, and technical safeguards to protect Customer data.
6.3 Compliance
Each party agrees to comply with applicable data protection laws, including GDPR where relevant.
7. INTELLECTUAL PROPERTY
Séve retains all rights, title, and interest in the Platform and its underlying technology. Customer receives no rights except those explicitly granted herein.
8. CONFIDENTIALITY
Each party agrees to treat confidential information with the same care it uses for its own confidential information, and not disclose it without permission, except as required by law.
9. WARRANTIES AND DISCLAIMERS
Séve warrants that it will provide the Platform in a professional manner. EXCEPT AS EXPRESSLY STATED, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
10. LIMITATION OF LIABILITYNeither party is liable for indirect, incidental, or consequential damages. Séve’s total liability shall not exceed fees paid by Customer in the six (6) months prior to a claim.
11. GENERAL TERMS
11.1 Governing Law
This Agreement is governed by the laws of the State of Georgia.
11.2 Entire Agreement
This Agreement, along with policies linked at checkout, constitutes the full agreement between the parties.
11.3 Amendments
Séve may update this Agreement with 30 days’ notice. Continued use indicates acceptance.
11.4 Notices
Notices will be sent to the contact details provided by Customer at checkout.
By subscribing via Stripe, Customer agrees to the terms of this Agreement.
